EULA
This is an End User License Agreement (EULA) is a legal agreement between a person or a single entity or companay (hereinafter "Licensee" or "You") who is being licensed to use M/s Netxcent Technologies' Software Or (hereinafter "Netxcent Software" Or "Software" which includes extensions, modules, templates and services) and M/s Netxcent Technologies (hereinafter "Licensor" or "Netxcent").
By purchasing, installing, copying, downloading the Software or otherwise using the Software, Licensee acknowledges that you/Licensee have/has read this License and agree to be bound by the terms of this Agreement. If Licensee does not agree to the terms of this License, do not install or use "Netxcent Software".
The Agreement becomes effective at the moment when Licensee acquires software from our site or receive it through email or on data medium or by any other means. Licensor reserves the right to make reasonable changes to the terms of this license agreement and impose its clauses at any given time. Any changes will be effective as soon as change is posted on the netxcent.com website, and the Licensee is responsible for reviewing these changes and informing itself of all applicable changes or notices.
OWNERSHIP
When Licensee acquires software , all Software rights, title, copyright and source code will be property of Licensor. Ownership of all rights, title, copyright, source code will remain with Licensor.
RENTAL
Licensee not allowed to sell, sub-license, rent, give, lease or lend any portion of the Software to anyone.
DISTRIBUTION
Licensee is not allowed to distribute any copy or part of "Netxcent Software" to anyone. Licensee is not allow to place any copy or part of "Netxcent Software" on the server or internet or public network for distribution purposes. Any distribution of "Netxcent Software" shall be considered as violation of this Agreement and Licensee will be held liable to pay the amount solely decided by Licensor for violation of this Agreement.
TERMINATION
Netxcent reserves and shall have the absolute right in its sole and unfettered discretion, Netxcent may terminate this License at any time if licensee fails to comply with the terms and conditions of this License. In the case of failure, it will be a breach of this agreement and with immediate effect your license to use "Netxcent Software" shall be revoked and licensee must remove all copies of "Netxcent Software" in Licensee's possession and you hereby agree to stop use of Software and to pay all costs (including but not limited to reasonable attorney fees) to enforce our revocation of your license and any damages suffered by us because of your misuse of the Software. Licensee shall not be entitled to seek any refund of the amount paid by Licensee to the Netxcent, under any circumstance.
REFUND POLICY
Licensee may request a refund within 30 days after an order has been placed for paid extensions, modules and templates. The refund policy applies only in case the extensions to be refunded has been purchased at Netxcent.com website. Fees for subscription services and any other services provided by Netxcent are not refundable.
Installation Service, Customization Service, Support package and other services provided by Netxcent are non-refundable.
LIMITATION OF LIABILITY
In any event shall Netxcent not be liable for any damages (including, without limitation, lost profits, business interruption, or lost information) rising out of "Authorized Users" use of or inability to use the Netxcent's products, even if Netxcent has been advised of the possibility of such damages. In no event will Netxcent be liable for prosecution arising from use of the Software against law or for any illegal use. And We will not be liable for any delay or failure to perform any of its obligations under this Agreement by reasons, events or other matters beyond its reasonable control.
